Terms & Conditions for Qatium Developer Marketplace
Welcome to the Qatium Developer Marketplace (the “Marketplace”). These Terms and Conditions (“Terms”) constitute a legal agreement between you, either an individual developer or an entity (“Developer”, “you”), and Deep Tech Solutions, S.L., trading as Qatium (“Qatium”, “we”, “us”, “our”). This agreement outlines your rights and obligations to use the Marketplace and is binding upon your acceptance.

1.2 Acceptance of Terms
By registering for an account and accessing or using the Marketplace, you agree to be bound by these Terms, along with our General Terms and Conditions and our Privacy and Cookie Policies incorporated here by reference. If you do not agree with any part of these terms, you must not access or use the Marketplace.
1.3. Changes to Terms:
We reserve the right to modify these Terms at any time as our services evolve and as required by law. Changes will be effective immediately upon posting on the Marketplace, and we will make reasonable efforts to notify you through your registered email or prominent notification on the Marketplace. Your continued use of the Marketplace after such changes constitutes your acceptance of the new Terms.
1.4 Legal Compliance:
You must use the Marketplace in compliance with these Terms and all applicable local, national, and international laws and regulations. This includes but is not limited to, regulations pertaining to privacy, intellectual property, consumer protection, and export controls.
1.5 Privacy:
We value your privacy. Your use of the Marketplace and any personal information you provide on the Marketplace are subject to the terms of our Privacy Policy.

In these Terms and Conditions, the following terms shall have the meanings set out below unless the context requires otherwise:
- “Marketplace” refers to Qatiumās Developer Marketplace, an online platform allowing external developers (hereinafter referred to as “Developers”) to develop, publish, distribute, and monetize software plugins and tools (collectively referred to as “Plugins”) that enhance the functionalities of Qatiumās core services.
- “Developer” or “You” means any individual, company, or entity who registers, accesses, or uses the Marketplace with the intention of creating Plugins for distribution and sale.
- “Plugin” means software, data, and other digital materials developed and uploaded by a Developer to the Marketplace and intended for use by users of Qatiumās core services.
- “User” refers to any person or entity interacting with, downloading, or purchasing Plugins through the Marketplace.
- “Content” includes all data, text, graphics, images, audio, video, and other materials submitted, posted, or displayed by a Developer on the Marketplace.
- “Qatium Services” refers to the various water management tools and services provided by Qatium, which may be enhanced by the Plugins developed and offered through the Marketplace.
- “Terms” refers to these Terms and Conditions as amended from time to time.
- “Intellectual Property Rights” means all patent rights, copyrights, trademark rights, trade secrets, and any other intellectual property rights recognised under any laws or international conventions and applicable to the Plugins.
- “Confidential Information” includes, but is not limited to, any data, documents, software, research, information or other material relating to a Developerās Plugin or Qatiumās services deemed confidential or proprietary.
- “Effective Date” refers to the date the Developer agrees to these Terms and Conditions by clicking to accept or continue using the Marketplace.
- “Third-Party Software” means any software or component that is licensed under terms that are separate from these Terms and is integrated into, required by, or included in the Plugins.

3.1 Account Creation
Developers must create an account to access and use the Marketplace. During registration, you must provide accurate and complete information, including a valid email address. You are responsible for keeping your registration information up to date.
3.2 Account Responsibilities
- Account Security: You are responsible for all activities under your account. You must maintain its security and immediately notify Qatium of any unauthorized use or security breach.
- Age Requirement: You must be at least 18 years old to use the Marketplace, or if under 18, you must have the permission and direct supervision of a parent or legal guardian.
- Account Use: You are responsible for all content uploaded and activity under your account (even when content is posted by others who have access to your account).
3.3 Developer Verification
Qatium may, at its discretion, use various means to verify the information provided by developers during the registration process. Failure to adequately respond to such verification requests may result in account suspension or termination.
3.4 Account Termination
- By Developer: You may terminate your account anytime through the account settings. Upon termination, any rights granted to you in these Terms will cease immediately.
- By Qatium: Qatium reserves the right to suspend or terminate your account, at its sole discretion, at any time for any reason, including but not limited to breach of these Terms, legal or regulatory reasons, or actions that may harm or bring disrepute to Qatium.

4.1 Permitted Uses
- General: Developers agree to use the Marketplace solely for lawful purposes, in compliance with all applicable laws, including but not limited to privacy laws, intellectual property laws, export control laws, and regulatory requirements.
- Compliance with Policies: Developers must comply with all Marketplace policies as may be updated from time to time, which include data security and privacy policies, content guidelines, and operational rules.
- Third-Party Plugin Liability: Any third-party developer creating and integrating plugins into the Marketplace bears sole responsibility for the functionality, maintenance, and legality of their plugins. Should a plugin cause or contribute to any disruption, damage, degradation of the water network, data integrity, or lead to civil intoxication or similar public health crises, the developer of the plugin is liable for all resultant damages, repairs, and necessary corrections. This includes direct, indirect, incidental, or consequential damages to the network, public health, or any associated systems. It is the responsibility of the plugin developer to ensure their plugin operates securely and effectively within the Marketplaceās ecosystem, adhering to all relevant regulations and standards. Failure to comply with these terms may result in revocation of the pluginās integration privileges, necessary remedial actions, and potential legal action.
4.2 Prohibited Uses
- Integrity of Marketplace: Developers may not engage in activities that would interfere with, disrupt, negatively affect, or inhibit other developers or users from fully enjoying Qatiumās platform or the Marketplace, or that could damage, disable, overburden, or impair the functioning of Qatiumās platform or the Marketplace in any manner.
- Illegal Activities: The creation or distribution of Plugins that promote illegal activities, contain or spread malware, or violate third-party rights, including intellectual property rights, is strictly prohibited.
- Misrepresentation: Developers must not misrepresent their Pluginsā functionality and must provide clear and accurate descriptions. Misleading descriptions, deceptive practices, or misrepresentation of any Plugin in the Marketplace is strictly prohibited.
4.5 Reporting and removal
- Reporting and Removal: Qatium reserves the right to remove any content that violates Marketplace policies or terms, or applicable laws without prior notice to the Developer. Qatium also reserves the right to take appropriate legal action against violators.
4.6 Updates and Modifications
- Plugin Updates: Developers are encouraged to update their Plugins to maintain compatibility and security standards. Qatium may also require Developers to make specific updates but will provide reasonable notice when such updates are mandated.
4.7 Fair Usage
- Resource Usage: Developers must ensure that their Plugins do not consume excessive Marketplace resources or interfere with the services provided by Qatium or other third parties.

5.1 Pricing Model
- Developer-Set Pricing: Developers can set their prices for plugins, whether for free, one-time payments, or subscription-based models. Qatium will collect a commission of 30% on gross revenues generated from the sale of Plugins unless otherwise negotiated and documented in a separate agreement.
- Dynamic Pricing: Qatium retains the right to negotiate different commission rates under special conditions or promotional terms, which will be explicitly agreed upon in writing.
5.2 Payment Processing
- Revenue Collection: Qatium is responsible for processing all payments. We will invoice end-users directly and ensure the timely collection of payments.
- Developer Payments: Developers will be paid their net revenues (total collected minus Qatium’s commission) monthly. Payments will be processed by the 15th of the following month after the revenue is collected.
- Payment Method and Details: Developers must provide valid banking details to receive payments. All payment transfers are subject to processing and handling fees, where applicable.
5.3 Chargebacks and Refunds
- Handling Chargebacks: Qatium will manage chargebacks, and any associated costs will be deducted from the Developer’s future payments.
- Refund Policy: Qatium reserves the right to issue refunds to end-users in accordance with our Refund Policy. Refunded amounts will be deducted from the Developerās future payments, and developers will be informed of any such deductions.
5.4 Taxes and Compliance
- Tax Responsibility: Developers are responsible for all taxes imposed on their revenues, including but not limited to income taxes and any other applicable taxes according to their local laws and regulations.
- Qatium’s Role: Qatium will not withhold taxes on behalf of the Developer. It is the Developer’s responsibility to report and remit the correct taxes to the appropriate tax authorities.
5.5 Adjustments and Discrepancies
- Reporting Errors: Any payment discrepancies, including processing or calculation errors, must be reported to Qatium within 30 days of payment receipt for rectification.
- Adjustments: Qatium reserves the right to make adjustments to payments in the case of non-compliance with Marketplace policies, fraudulent activities, or system errors.
5.6 Modifications to Pricing and Commission Structure
- Notice of Changes: Qatium may modify the terms of pricing and commission rates at any time. Such changes will be communicated to the Developers through email or platform notification and will take effect 30 days after notification.
5.7 Currency and Exchange Rate
- Currency Use: All financial transactions will be processed in U.S. Dollars (USD) or Euros (EUR). If a transaction involves another currency, it will be converted to Euros based on the prevailing exchange rate at the time of the transaction as determined by Qatium’s chosen financial institution, or the third party responsible for payment.
- Exchange Rate Fluctuations: Qatium is not responsible for and will not adjust payments based on fluctuations in currency exchange rates. Developers bear all risks associated with currency fluctuations between the transaction date and the payment date.

6.1 Ownership and License
- Developer Ownership: Developers retain all rights, title, and interest in and to the Plugins they develop and publish on the Marketplace, including any and all intellectual property rights.
- Grant of Rights: By submitting a Plugin to the Marketplace, Developers grant Qatium a perpetual, non-exclusive, worldwide, royalty-free license to use, distribute, reproduce, adapt, publicly perform, and publicly display the Plugin on Qatium, the Marketplace or promotional content. This license is for the sole purpose of enabling Qatium to operate and provide the Marketplace features, as well as to promote the Plugin, Qatium and the Marketplace.Ā Upon termination of this agreement for any reason, users of Qatium products may continue to use and enjoy all rights obtained through the use of Qatium products prior to such termination.Ā
- Trademark and brand license: By creating an account, you agree that Qatium may use your company’s trade names, trademarks, service marks, logos, domain names, and other distinctive brand features (“Brand Features”) in presentations, marketing materials, customer lists, financial reports, website listings (including links to your website), and other communications related to the Marketplace.
6.2 Protection of Intellectual Property
- Protection Measures: Qatium commits to protecting the intellectual property rights of Developers and third parties. Developers agree to respect the intellectual property rights of Qatium, other Developers and third parties and to not engage in any action that would infringe on these rights.
- IP Infringement Claims: If a Plugin is alleged to infringe the intellectual property rights of a third party, Qatium reserves the right to take appropriate actions, including but not limited to removing the Plugin from the Marketplace and/or disabling access to it. Developers agree to cooperate fully with Qatium in handling such claims.
6.3 Use of Third-Party Material
- Third-party material: Developers are solely responsible for obtaining all necessary rights and permissions for any third-party materials or works included in their Plugins. Developers must ensure that their Plugins do not violate any applicable laws or rights of third parties.
6.4 Developer Representations and Warranties
- Warranties: Developers represent and warrant that they have all necessary rights to grant the licenses mentioned here and that their Plugins do not and will not violate any law or infringe upon any intellectual property right of any third party.
- Disclaimer: Qatium disclaims all liability for the infringement of intellectual property rights in connection with the Plugins submitted to the Marketplace.
6.5 Feedback and independent developments by Qatium
- Feedback Rights: Developers may provide Qatium with feedback concerning the Marketplace or Plugins. Developers grant Qatium a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate any feedback provided into the Marketplace.
- Independent developments by Qatium: Qatium may independently develop content that may be similar to or competitive with the Plugins submitted by Developers. Developers acknowledge and agree that Qatium is entitled to develop and commercialize such Plugins without restriction.

7.1 Submission and Review
- Submission Requirements: Developers must submit Plugins for review that comply with the Marketplaceās technical and content guidelines. Plugins must be free of malware, perform as advertised, and must not infringe on any Qatium or third party’s rights or violate any laws.
- Review Process: Qatium will review submitted Plugins to ensure they meet our quality standards and compliance requirements. Qatium reserves the right to reject any Plugin that does not comply with our guidelines.
7.2 Acceptance and Publishing
- Acceptance: Upon passing the review process, Plugins will be accepted for distribution on the Marketplace. Qatium does not guarantee the placement or prominence of any Plugin within the Marketplace.
7.3 Monitoring and Takedown
- Monitoring: Qatium reserves the right to monitor all Plugins to ensure ongoing compliance with the terms of this Agreement and applicable laws. Qatium may conduct periodic audits of Plugins and may remove or require changes to any Plugin at its sole discretion.
- Takedown: If a Plugin is found to violate any laws, third party rights, or Marketplace policies, Qatium may, at its discretion, remove the Plugin from the Marketplace. Developers will be notified of the reason for takedown and may have the opportunity to modify the Plugin to meet compliance standards.
7.4 Disputes and Appeals
- Dispute Resolution: Developers may contest decisions made by Qatium regarding Plugin rejections or removals. A formal internal review process will be provided, wherein Developers can submit evidence or arguments against such decisions.
7.5 Termination of Distribution
- Voluntary Withdrawal: Developers may remove their Plugins from the Marketplace at any time. However, previously downloaded or purchased copies of the Plugin may continue to be used by users according to the terms of the original license. If the Plugin is offered on a subscription basis, existing subscribers may continue to use the Plugin until the end of their current billing cycle and during the post-termination support period as specified in Clause
- Developers are required to fulfill any outstanding support or maintenance obligations through the duration of these subscriptions and the post-termination support period.
- Forced Removal: In extreme cases, such as legal violations or severe security issues, Qatium may forcibly remove a Plugin from the Marketplace. In such cases, Qatium will communicate the reasons for the removal to the Developer. For Plugins removed under forced conditions, Qatium will immediately terminate access to the Plugin for all users, including those with active subscriptions. Users will be notified and provided with information about the termination. Refunds for any pre-paid subscription fees covering the period after the termination will be handled in accordance with Qatiumās Refund Policy.

8.1. Obligations regarding intellectual property
- Respect for Intellectual Property: Developers must respect others’ intellectual property rights. Any infringement claims related to Plugin content uploaded by a Developer will be addressed promptly, including possible removal of the Plugin if necessary.
8.2 Developer Responsibility
Developers are solely responsible for the Plugins they submit to the Marketplace. Qatium assumes no responsibility for the content of the Plugins, including their legality, reliability, accuracy, or appropriateness.
8.3 Indemnification
Developers agree to indemnify, defend, and hold harmless Qatium and its affiliates, officers, agents, and employees from any claim, suit, action, or demand arising from or related to the use of third-party materials in their Plugins.
8.4 Legal Compliance.
Developers are responsible for legal compliance of their Plugins, including adherence to copyright, data protection, and consumer protection laws. Qatium will cooperate with legal authorities as necessary in the investigation of unlawful activities related to Plugins.
8.5 Plugin Maintenance and updates.
Updates and Maintenance: Developers are responsible for updating their Plugins to maintain functionality and security standards. Qatium reserves the right to remove Plugins that are found to be vulnerable to security threats or that have become incompatible with the latest platform updates.
8.6 Developer Data and information.
It is the developer’s obligation to keep all personal and non-personal information relating to the account up to date.
8.7 User Data and Privacy
- Data Collection and Usage: Developers must disclose how they collect, use, store, and share users’ data. This must include providing transparent privacy policies that are easily accessible to users. As we are in the EU, developers must ensure that all data handling practices comply with the General Data Protection Regulation (GDPR). This includes but is not limited to, obtaining lawful bases for processing personal data, ensuring data subject rights, and conducting data protection impact assessments where necessary. Developers must implement adequate technical and organizational security measures to protect user data against unauthorized or unlawful processing and against accidental loss, destruction, or damage. This should align with GDPR requirements, which may include data encryption, ensuring data integrity, and maintaining ongoing confidentiality systems. Any sharing or transfer of personal data outside the EU must be conducted in compliance with GDPR transfer mechanisms, ensuring that personal data is transferred to countries that provide an adequate level of data protection or under approved contractual clauses that guarantee GDPR-compliant data handling practices.
- Consent: If a Plugin accesses or uses personal information, Developers must ensure they obtain user consent where required and must provide a clear and comprehensive privacy policy that users can access.

9.1 Termination by Developer
- Voluntary Termination: Developers may terminate their Marketplace account at any time by notifying Qatium in writing. Developers must fulfill any outstanding obligations before termination, including addressing any pending transactions or support issues.
- Effect of Termination: All rights granted to the Developer under these Terms will cease immediately upon termination. However, any distributions made while the account was active will continue to be governed by the terms of their respective licenses.
9.2 Termination or Suspension by Qatium
- For Cause: Qatium reserves the right to suspend or terminate a Developer’s access to the Marketplace immediately and without notice if:
- The Developer breaches any provisions of these Terms, including but not limited to violations of intellectual property rights, failure to comply with associated policies, or providing misleading information.
- Qatium determines that the Developer’s actions may cause legal liability for Qatium or other users or may adversely affect the services or reputation of the Marketplace.
- Operational Suspension: Qatium may also suspend a Developer’s access to the Marketplace temporarily for operational purposes, such as maintenance, repair, or improvement of the Marketplace. Developers will be notified of such suspensions and expected durations if possible.
9.3 Rights Upon Termination or Suspension
- Data Retention and Access: Upon termination, Qatium may deactivate the Developerās account but may retain data and content for compliance with legal obligations, resolving disputes, or enforcing agreements.
- Continued Use: Termination or suspension does not affect the right of users who have obtained the Developerās Plugin prior to such termination or suspension to continue using said Plugin. For users subscribed to services provided by the Plugin, their access will continue until the end of their current subscription period as per the terms agreed upon at the time of subscription. During this period, developers are required to continue support as outlined in the post-termination support period specified in Clause 8.4. After this period, the subscription services will no longer be available unless reinstated by Qatium in accordance with any new agreements.
9.4 Consequences of Termination
- Financial Obligations: Upon termination, all financial obligations accrued by the Developer remain due and payable. Qatium will settle any remaining financial accounts within 30 days of termination.
- Post-Termination Support: Developers are required to provide post-termination support for their Plugins for a period specified by Qatium, typically not less than 90 days, to ensure a smooth transition for users.
- For Plugins offered on a subscription basis, the occurrence of either the termination of a Developer’s account or the end of a subscription period, whichever occurs later, will be considered as triggering termination conditions. Developers must continue to provide all contracted services up to and including the later of these two events. This ensures that all subscription obligations are met in full, maintaining uninterrupted service and support for users as stipulated in the original subscription agreement until the last active subscription expires.
9.5 Reinstatement
- Conditions for Reinstatement: Developers whose accounts have been suspended or terminated may apply for reinstatement. The application must address the reasons for suspension or termination and outline measures taken to prevent future violations.
- Qatiumās Discretion: Qatium reserves the right, at its sole discretion, to allow or deny the reinstatement of a Developerās account.

10.1 Limitation of Liability
- Scope of Liability: Qatium will not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses (even if Qatium has been advised of the possibility of such damages).
- Cap on Liability: To the maximum extent permitted by applicable law, Qatium’s total liability to any Developer for any claim under these Terms, whether in contract, tort, or otherwise, is limited to the amount paid by the Developer to Qatium during the twelve (12) months prior to the cause of action. Qatium assumes no liability for any claim that does not meet this cap.
10.2 Indemnification by Developer
- Developer Obligations: Developers agree to indemnify, defend, and hold harmless Qatium, its affiliates, officers, agents, employees, and licensors from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of the Developer’s breach of these Terms, improper use of the Marketplace, or violation of any law or the rights of a third party.
- Process: Qatium will provide Developers with prompt notice of any claim subject to indemnification; however, Qatium’s failure to do so will not affect the indemnification provided here, except to the extent that Qatium is materially prejudiced by such failure.
10.3 Defense and Settlement
- Qatium’s Rights: Qatium reserves the right, at the Developer’s expense, to assume the exclusive defense and control of any matter for which Developers are required to indemnify Qatium and Developers agree to cooperate with Qatiumās defense of these claims.
- Settlement: Developers may not settle any matter without Qatium’s prior written consent.
10.4 Additional Limitations
- Force Majeure: Neither party shall be liable for any failure to perform its obligations where such failure results from any cause beyond its reasonable control, including, but not limited to, mechanical, electronic, or communications failure or degradation.
- Non-Exclusivity: The indemnification and limitations of liability provisions set forth in this clause are in addition to, and not in lieu of, any other indemnities or limitations of liability set forth in any other written agreement between Qatium and the Developer.

11.1 General Approach
- Negotiation: Before initiating any formal dispute resolution proceedings, the parties agree to attempt to resolve any disputes arising out of or relating to these Terms informally. This includes negotiation through sending a detailed notice of the dispute to the other party, and the parties shall engage in a dialogue as to the merits of the case and potential resolutions for 30 days.
11.2 Binding Arbitration
- Agreement to Arbitrate: If the dispute cannot be resolved through negotiation, then the partiesĀ shall then settle any disputes arising out of or in connection with these Terms or the Marketplace through final and binding arbitration, except as set forth under the exceptions below.
- Arbitration Procedures: Arbitration will be conducted by a neutral arbitrator in accordance with the Arbitration Rules of the Chamber of Commerce and Industry of Castellón, Spain, unless you are entitled to choose the applicable rules based on your location.
- Location: The arbitration will take place in Castellón, Spain, and will be conducted in the Spanish language.
11.3 No Class Actions
- Class Action Waiver: The parties agree that any arbitration will be conducted in their individual capacities only and not as a class action or other representative action, and the parties expressly waive their right to file a class action or seek relief on a class basis.
11.4 Modifications to this Arbitration Provision
- Amendability: If Qatium makes any future change to this arbitration provision other than a change to Qatiumās address for Notice, you may reject the change by sending us written notice within 30 days of the change to Qatiumās address for notice, in which case your account with Qatium will be immediately terminated and this arbitration provision, as in effect immediately prior to the amendments you reject, will survive.
11.4 Enforceability
- Severability: If any part of this Section 10 is found to be unenforceable or unlawful for any reason, (1) the unenforceable provision shall be severed from these Terms; (2) severance of the unenforceable provision shall have no impact whatsoever on the remainder of the arbitration agreement or the partiesā ability to compel arbitration of any remaining claims on an individual basis pursuant to the arbitration agreement; and (3) to the extent that any claims must therefore proceed on a class, collective, consolidated, or representative basis, such claims must be litigated in a civil court of competent jurisdiction and not in arbitration, and the parties agree that litigation of those claims shall be stayed pending the outcome of any individual claims in arbitration.

12.1 Modifications
- Changes to Terms: Qatium reserves the right to modify these Terms at any time. Such changes will be effective immediately upon posting on the Marketplace, unless otherwise noted. Developers will be notified of significant changes via email or a prominent notice on the Marketplace. Your continued use of the Marketplace following such changes constitutes your acceptance of the new Terms.
12.2 Severability
- Validity and Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. We will replace any invalid or unenforceable provision with a valid one that most closely achieves the intent of the original provision.
12.3 Entire Agreement
- Entire Agreement: These Terms constitute the entire agreement between Qatium and the Developers regarding the Marketplace and supersede all prior agreements and understandings, whether written or oral, relating to such subject matter.
12.4 Governing Law
- Applicable Law: These Terms are governed by the laws of Spain without regard to its conflict of laws provisions. All disputes related to these Terms will be resolved exclusively in the courts of Valencia, Spain, except as otherwise agreed by the parties or as described in the arbitration clause.
12.5 Assignment
- Assignment Restrictions: You may not assign any of your rights or delegate your obligations under these Terms without the prior written consent of Qatium. Any purported assignment or delegation in violation of this section is null and void.
12.6 Waivers
- No Waiver: No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.
12.7 Notices
- Communication and Notices: All notices, requests, consents, claims, demands, waivers, and other communications hereunder shall be in writing and addressed to the parties at the addresses set forth on the Marketplace or to such other address that may be designated by the receiving party in writing. Notices sent in accordance with this provision shall be deemed effectively given when received, if personally delivered or sent by email with confirmation of transmission, or the next day after sending, if sent for next day delivery by recognized overnight delivery service.
12.8 Compliance with Laws
